In her legal practice, Teresa primarily focuses on cases involving a complex financial component, including but not limited to, fraud, misrepresentation, fraudulent transfers, securities fraud, identity theft, as well as other contract disputes, such as those involving purchase price accounting and earn out clauses in post-merger/acquisition, factoring agreements, collections, stock and asset purchase agreements, limited partnership agreements, personal guarantees, commercial leases, stock and asset purchase agreements, and service contracts. Teresa also has experience with accounting negligence claims/professional liability as well as claims in the White Collar Criminal Defense area of the law and has assisted defendants through joint or parallel investigations of the SEC and the DOJ. In addition, Teresa has also spent a fair amount of her time representing broker/dealers in their defense of customer claims whether brought in Arbitration under the Financial Industry Regulatory Authority (FINRA) or in litigation in Federal or State Courts throughout the United States, under the 1933 and 1934 Securities Acts, state securities laws, fraud, misrepresentation, state consumer protection acts, negligence, breach of fiduciary duties and failure to supervise.
Teresa also provides contract drafting and review and other business advisory services to her clients.
